Governance and Scheme of Delegation

VIAT is a company limited by guarantee and an exempt charity. The charitable company’s memorandum and articles of association are the primary governing documents of the multi-academy trust. Responsibility for the schools and for the funds granted by parliament for providing education in those schools is entrusted to the Board of Trustees.

These trustees are also the directors of the charitable company for the purposes of company law.

The Trust delegates certain authorities to each respective Local School Board which are detailed in the scheme of delegation.

VIAT greatly values and supports the work of the Local School Boards and recognises the significant contribution that excellent governance can make towards raising standards. The Trust supports Local School Boards with governor recruitment, selection, induction, training, and succession planning, along with expertise from the VIAT governance lead. The Standards and School Improvement Committees provide an opportunity for governors to work with trustees and to focus on the Trust improvement priorities which include pedagogy and intervention, reading, writing and oracy, and personal development with a focus on improving outcomes for all, thereby closing the gap for the disadvantaged. This is accomplished through close monitoring of pupil premium, SEND, attendance and safeguarding.

Local School Boards are responsible for holding executive headteachers/headteachers/heads of school and their leadership teams to account for the quality and effectiveness of the school experience of the students under their care. They do this through monitoring performance against an annual school improvement action plan (SIAP) and self-evaluation form (SEF) through monitoring risks and responses to risks and through overseeing systems and processes for the safeguarding of children, and the health, safety and wellbeing of the school community.

Local School Boards are expected to both support and challenge the executive headteachers/headteachers/heads of school and leadership teams in respect of the school improvement journey.

Local School Boards have specific responsibilities delegated to them under the VIAT scheme of delegation.

The Trust provides strategic oversight of financial control and strategy through the main Trust Board Finance Committee. The Trust also has a separate Audit and Risk Committee and Pay Committee.
